These Terms and Conditions govern your use of Northgate Advisory's services and website. By engaging our services or using our website, you agree to be bound by these terms.
1. Definitions
For purposes of these Terms:
- "Services" refers to investment consulting, financial planning, wealth review, and implementation support services provided by Northgate Advisory.
- "Client" or "You" refers to the individual or entity engaging our Services.
- "We", "Us", or "Company" refers to Northgate Advisory.
- "Agreement" means these Terms and Conditions together with any service-specific engagement letter.
- "Website" refers to northgatar.pro and all associated pages.
2. Acceptance of Terms
By accessing our website or engaging our Services, you acknowledge that:
- You have read and understood these Terms
- You agree to be bound by these Terms
- You are at least 18 years of age or the age of majority in your jurisdiction
- You have the legal capacity to enter into binding agreements
3. Nature of Services
Advisory Relationship
We provide investment consulting and financial planning advice on a fee-basis. Our Services are advisory in nature and do not include:
- Management or custody of your assets
- Execution of trades or transactions
- Tax preparation or legal services
- Accounting services
Professional Standards
We operate under fiduciary principles and are regulated by the Monetary Authority of Singapore (MAS). Our advice is based on information you provide and our professional judgment at the time of engagement.
No Guarantees
We do not provide assurances regarding investment performance, specific outcomes, or future results. Financial markets involve variability and outcomes cannot be predicted with certainty.
4. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information
- Disclose all relevant financial details and circumstances
- Notify us promptly of significant changes in your situation
- Review all recommendations carefully before implementation
- Maintain copies of all documentation provided
- Seek independent verification where appropriate
- Make your own final decisions regarding recommendations
5. Fees and Payment
Fee Structure
Our Services are provided on a fee-for-service basis. Fees are disclosed upfront and agreed upon before work begins. Current service fees are:
- Discovery Consultation: S$480
- Comprehensive Wealth Review: S$2,400
- Implementation Support: S$1,650
Payment Terms
Payment is due as follows:
- Discovery Consultation: Full payment before scheduled session
- Comprehensive Wealth Review: 50% upfront, 50% upon report delivery
- Implementation Support: 50% at engagement start, 50% upon completion
Currency and Methods
All fees are in Singapore Dollars (SGD). We accept payment by:
- Bank transfer
- Cheque payable to Northgate Advisory
- PayNow (for eligible amounts)
Additional Work
If services beyond the original scope are requested, we will discuss and agree on additional fees before proceeding with such work.
6. Cancellation and Refunds
Discovery Consultation
You may cancel up to 48 hours before the scheduled session for a full refund. Cancellations within 48 hours are non-refundable, though we will attempt to reschedule if possible.
Comprehensive Wealth Review
After work has commenced, the initial 50% payment is non-refundable. If you cancel before report delivery, the final 50% will not be charged.
Implementation Support
You may terminate the engagement at any time. Fees will be prorated based on work completed to date. Any unearned portion will be refunded within 30 days.
Refund Processing
Approved refunds are processed within 14 business days via the original payment method.
7. Confidentiality
We maintain strict confidentiality of all client information. We will not disclose your personal or financial information except:
- With your explicit written authorization
- To other professionals working on your behalf (with your consent)
- When required by law or regulatory authority
- To protect our legal rights in disputes
8. Intellectual Property
Our Content
All content on our website and in our reports, including text, graphics, methodologies, and analysis frameworks, is owned by Northgate Advisory and protected by copyright law.
Client Reports
Reports prepared for you are for your personal use. You may share them with your professional advisors but may not redistribute or publish them without our consent.
Website Use
You may view and download website content for personal, non-commercial use. Any other use requires written permission.
9. Disclaimers and Limitations of Liability
Service Provision
Our Services are provided "as is" based on information available at the time of engagement. We do not provide assurances regarding:
- Future investment performance
- Achievement of specific financial goals
- Accuracy of third-party information
- Changes in tax laws or regulations
Liability Limitations
To the maximum extent permitted by Singapore law:
- Our liability is limited to the fees paid for the specific service in question
- We are not liable for indirect, consequential, or punitive damages
- We are not responsible for implementation decisions you make
- We are not liable for losses arising from market conditions or investment performance
Professional Indemnity
We maintain professional indemnity insurance as required by regulatory authorities.
10. Termination
By You
You may terminate the engagement at any time by providing written notice. Fees will be settled based on work completed as described in the cancellation policy.
By Us
We may terminate the engagement if:
- You fail to provide necessary information or cooperation
- Payment terms are not met
- We identify a conflict of interest
- Continuing would violate professional standards or regulations
Effects of Termination
Upon termination, we will provide work completed to date and return any original documents. Confidentiality obligations continue indefinitely.
11. Dispute Resolution
Informal Resolution
In the event of any dispute, we encourage direct communication to resolve the matter informally.
Mediation
If informal resolution fails, disputes should be submitted to mediation before pursuing formal legal action.
Governing Law
These Terms are governed by the laws of Singapore. Any legal proceedings shall be subject to the exclusive jurisdiction of Singapore courts.
12. General Provisions
Entire Agreement
These Terms, together with any engagement letter, constitute the entire agreement between you and Northgate Advisory regarding our Services.
Amendments
We may update these Terms periodically. Changes will be posted on our website with an updated effective date. Continued use of Services after changes indicates acceptance.
Severability
If any provision is found unenforceable, the remaining provisions continue in full force.
No Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
Assignment
You may not transfer your rights or obligations under these Terms without our written consent. We may assign our rights and obligations with reasonable notice to you.
Notices
All notices should be sent to [email protected] or our registered address. Notices are deemed received when delivered by email or three business days after mailing.
